Welcome to YTS-Agents, an AI-Powered Business Automation agency and subsidiary of Perle Marketing, based in Paris, France, and operating internationally with offices in Istanbul, Türkiye.

These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of our website (https://www.yts-agents.com) and all services provided by YTS-Agents.
By visiting our website, requesting a quotation, or engaging our services, you acknowledge that you have read, understood, and agreed to these Terms in full.

If you disagree with any provision, you must not access or use our Services.


1. Company Identity

2. Scope of Services

YTS-Agents offers professional digital transformation and AI automation consulting, including but not limited to:

  1. AI-Powered Business Workflow Automation using n8n, OpenAI, Jasper.ai, AdCreative.ai, GoHighLevel, and other integration tools.
  2. Custom AI-Agents for decision support, data processing, and inter-departmental orchestration.
  3. Automation Architecture & Implementation, including API connectivity, system mapping, and data transformation.
  4. Monitoring, Reporting & KPI Dashboards using Power BI, Looker Studio, and custom reporting systems.
  5. Maintenance & Optimization for existing automation frameworks.
  6. Consulting, Advisory & Training sessions for client teams.
  7. Retainer-based Operational Support with SLA-based maintenance and issue resolution.

Each project may include deliverables such as:

  • Automation flow design and documentation
  • Custom AI-Agent logic and prompt libraries
  • Security and compliance documentation
  • Test and acceptance reports
  • Ongoing analytics dashboards

3. Acceptance of Terms

Engagement with YTS-Agents occurs when any of the following actions take place:

  • A quotation, proposal, or Statement of Work (SOW) is signed or accepted by email;
  • A deposit or invoice is paid;
  • Access credentials or materials are shared to commence work.

This acceptance constitutes a legally binding contract governed by these Terms.


4. Client Obligations

The Client agrees to:

  1. Provide accurate, complete, and timely information, documentation, and access credentials necessary to perform the Services.
  2. Ensure all data shared complies with relevant data protection laws (GDPR, KVKK, or local equivalents).
  3. Assign a designated project representative for communication, feedback, and approvals.
  4. Approve or reject deliverables within a maximum of five (5) business days of delivery unless otherwise agreed.
  5. Maintain valid licenses for all third-party tools and APIs required for project execution.
  6. Not use the deliverables for unlawful, unethical, or non-compliant purposes.

Failure to meet these obligations may result in project delays or additional costs.


5. Our Responsibilities

YTS-Agents shall:

  1. Perform all services with professional diligence, technical competence, and confidentiality.
  2. Ensure deliverables meet the agreed scope and performance standards.
  3. Use secure systems for all file storage, transfer, and access.
  4. Maintain backups and audit trails for all workflow files and automations.
  5. Assign qualified automation specialists or subcontractors under equivalent confidentiality terms.
  6. Communicate project progress transparently through periodic reports.

6. Service Models & Deliverables

YTS-Agents operates under three engagement types:

Each engagement includes a Statement of Work (SOW) specifying:

  • Project description
  • Detailed timeline & WBS (Annex A)
  • Acceptance checklist (Annex B)
  • KPI or reporting targets (Annex C)
  • Change request log (Annex D)

7. Pricing, Invoicing & Payments

  • All quotations are valid for 30 days unless otherwise stated.
  • Prices are quoted in EUR (France) or TRY (Türkiye) as applicable.
  • 50% deposit is generally required before project initiation unless another schedule is defined.
  • Invoices are payable within 14 calendar days of issuance.
  • Late payments incur 1.5% interest per month and may pause ongoing work.
  • Bank transfer or online payment fees are borne by the Client.
  • All prices exclude applicable VAT or taxes, which will be added as required.

Cancellations & Refunds

  • Written cancellation is mandatory.
  • Work already performed remains payable.
  • Deposits are non-refundable once development begins.
  • In long-term retainers, cancellation requires 30 days’ written notice.

8. Change Management

If new tasks or features are requested after project start:

  1. A Change Request Form (Annex D) is completed.
  2. YTS-Agents evaluates technical and cost implications.
  3. A revised quotation or SOW addendum is issued.
  4. Work begins only after written approval.

9. Confidentiality & Non-Disclosure

Both parties agree to keep all confidential information — including processes, code, data, financials, and strategies — strictly private.
Disclosure is only permitted to authorized personnel or subcontractors bound by equivalent confidentiality.

Confidentiality obligations remain effective for five (5) years after termination of this Agreement.
Breach of confidentiality may result in legal action and damages.


10. Intellectual Property (IP) Rights

  1. Pre-existing Materials: All frameworks, templates, and proprietary code used by YTS-Agents remain its property.
  2. Client Deliverables: Upon full payment, the Client owns rights to all customized workflows, documents, and outputs created exclusively for them.
  3. Third-Party Tools: Remain governed by their respective licenses (n8n, OpenAI, etc.).
  4. Portfolio Use: YTS-Agents may reference anonymized results or case studies unless the Client objects in writing.

11. Data Protection & Privacy

YTS-Agents fully complies with GDPR (EU) and KVKK (Türkiye) standards.

Data Controller: Perle Marketing (France)
Data Processor: YTS-Agents (acting under Client’s instructions)

Our Data Commitments

  • Collect and process only data necessary for service delivery.
  • Encrypt data in transit (SSL/TLS) and at rest.
  • Retain client data only as long as necessary.
  • Provide data access, correction, and deletion upon request.
  • Store credentials securely using encrypted vaults.
  • Execute a Data Processing Agreement (DPA) upon request.

12. Third-Party Tools & Integrations

YTS-Agents integrates tools such as:

  • n8n, Jasper.ai, OpenAI API, AdCreative.ai, GoHighLevel, SEMrush, Google Workspace, Power BI, QuickBooks, etc.

We are not responsible for:

  • Downtime or API changes in third-party tools.
  • Licensing costs, subscription renewals, or feature removals.
  • Data losses due to external service outages.

YTS-Agents will make reasonable efforts to maintain compatibility during third-party updates.


13. Warranties & Disclaimers

YTS-Agents warrants that:

  • All services will be performed professionally, using best industry practices.
  • Deliverables will function as specified during acceptance testing.

However, YTS-Agents does not warrant that:

  • Services will be uninterrupted or error-free indefinitely.
  • Third-party platforms will remain available or unchanged.
  • AI outputs will be free of factual or interpretive errors.

To the maximum extent permitted by law, YTS-Agents’ liability is limited to the total fees paid by the Client for the specific project concerned.


14. Security

We implement:

  • Role-based access control (RBAC)
  • Two-factor authentication
  • Secure password vaults
  • Encrypted data transfers
  • Regular security audits

YTS-Agents cannot be held responsible for security incidents caused by the Client’s negligence, unprotected systems, or unauthorized third-party access.


15. Subcontracting

YTS-Agents may engage vetted subcontractors, freelancers, or partner agencies for specific components of a project.
All subcontractors operate under strict NDAs and IP transfer agreements.
YTS-Agents remains fully responsible for the final deliverables.


16. Non-Solicitation Clause

The Client agrees not to directly solicit, employ, or engage any YTS-Agents employee, consultant, or subcontractor who worked on their project for a period of 12 months after project completion.


17. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to:
natural disasters, wars, strikes, pandemics, cyberattacks, or government restrictions.
If the event lasts more than 30 consecutive days, either party may terminate the affected project with written notice.


18. Termination

Either party may terminate the Agreement:

  • With 30 days’ written notice for convenience, or
  • Immediately, for breach of contract not remedied within 10 business days after written notice.

Upon termination:

  • All outstanding invoices become due.
  • YTS-Agents will deliver completed work to date.
  • Both parties must delete or return confidential materials.

19. Liability Limitation

YTS-Agents’ liability, whether in contract or tort, shall not exceed the total fees paid for the specific project in question.
We are not liable for indirect, consequential, or incidental damages, including data loss, revenue loss, or reputational harm.


20. Governing Law & Jurisdiction

This Agreement is governed by French law.
Any dispute shall first attempt amicable mediation; if unresolved, it will fall under the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris).

For clients in Türkiye, disputes may alternatively be resolved under Istanbul Courts, subject to mutual written consent.


21. Severability

If any provision of these Terms is found invalid, the remaining provisions shall remain enforceable.


22. Entire Agreement

These Terms, combined with any signed SOW, quotation, annex, or amendment, represent the entire agreement between the Client and YTS-Agents, replacing all prior discussions or representations.


23. Updates to Terms

YTS-Agents reserves the right to modify these Terms at any time.
Updates will be posted on our website with the “Last Updated” date. Continued use of our services after updates implies acceptance.

📄 Annex E — Data Processing Agreement (DPA)

(for GDPR & KVKK compliance)

1. Parties

This Data Processing Agreement (“DPA”) is entered into between:

  • Controller: [Client Name / Address]
  • Processor: YTS-Agents, a subsidiary of Perle Marketing, 20 Rue de la Paix, 75002 Paris, France.

2. Purpose & Scope

YTS-Agents processes personal data solely for performing automation, AI, and consulting services as defined in the main Agreement.
Processing includes collection, transfer, storage, and deletion of data related to automation workflows, CRM, marketing, HR, and analytics.

  5. Assist in fulfilling data-subject rights (access, rectification, erasure).
  6. Allow audits upon reasonable notice (max 1 per year).
  7. Delete or return all personal data upon termination unless law requires retention.

5. Sub-Processing

  • Sub-processors (freelancers or hosting providers) may be used only under written authorization from Controller.
  • All sub-processors must sign equivalent DPA clauses.

6. International Transfers

Data may be transferred between France, Türkiye, and other countries with adequate protection under GDPR Art. 45 or via Standard Contractual Clauses.


7. Liability

Each party remains responsible for its own compliance.
YTS-Agents’ liability for data breaches is limited as defined in the main Agreement.


8. Term & Termination

This DPA remains in effect for as long as YTS-Agents processes data on behalf of the Controller.
